
Terms of Engagement
These Terms of Engagement (“Terms”) apply to all services provided by C3 Techwave (“we”, “us”, “our”) to the client (“you”, “your”).
By engaging our services, you agree to these Terms.
1. Scope of Services
Our services are limited to independent readiness assessments and regulatory analysis, resulting in written reports or documented outputs as agreed in writing.
Services are advisory in nature and do not include implementation, remediation, audit, assurance, certification, legal advice, or representation to third parties.
2. Snapshot-in-Time Basis
All services are provided on a snapshot-in-time basis.
Reports and findings:
- reflect evidence and information made available during the engagement
- describe observed position at the time of review only
- do not account for future changes, planned activity, or ongoing operation
- Any reliance on the work beyond the assessment date requires a new engagement.
3. No Assurance or Guarantees
We do not provide:
- audit opinions
- assurance statements
- certification services
- guarantees of compliance, outcomes, or audit results
- Our work does not predict future performance, regulatory decisions, or third-party conclusions.
4. Client Responsibilities
You are responsible for:
- the completeness and accuracy of all information provided
- ensuring you have the right to share documents and any personal data
- decisions taken in reliance on our outputs
- We rely on information provided without independent verification unless expressly agreed.
5. Use of Outputs
Reports and outputs are provided for internal business use only.
They do not constitute statements of compliance or representations to auditors, regulators, certification bodies, or other third parties.
No third party may rely on our outputs without our prior written consent.
6. Fees and Payment
Fees are as agreed in writing.
Payment terms are as stated in the engagement agreement or invoice.
7. Limitation of Liability
To the fullest extent permitted by law:
- our total liability arising out of or in connection with the services shall be limited to the fees paid for the specific engagement
- we exclude liability for indirect, consequential, or economic loss
- we accept no liability for loss arising from incomplete, inaccurate, or misleading information provided by you
- we accept no liability for changes occurring after the assessment period
- Nothing in these Terms excludes liability that cannot be excluded under law.
8. Data Protection
- Personal data is processed in accordance with our Privacy Policy.
- Processing is limited to what is necessary to deliver the agreed services.
9. Termination
Either party may terminate an engagement by providing written notice.
Upon termination:
- you remain responsible for fees incurred up to the termination date
- we are not obliged to complete or update any work not yet delivered
- any outputs produced will reflect work completed up to that point only
- Termination does not affect accrued payment obligations, limitations of liability, intellectual property rights, confidentiality, or data protection obligations.
10. Intellectual Property
- All intellectual property rights in reports, analysis, methodologies, templates, and materials produced by us and any/all software used to produce them remain our property unless expressly agreed otherwise in writing.
- You are granted a non-exclusive, non-transferable licence to use outputs for your internal business purposes only.
- You may not reproduce, distribute, disclose, or permit reliance on outputs by third parties without our prior written consent.
11. Confidentiality
Each party shall keep confidential any non-public information disclosed in connection with the engagement, except where disclosure is required by law or permitted in writing.
This obligation survives termination of the engagement.
12. Force Majeure
Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to acts of God, natural disasters, or system failures.
13. Entire Agreement
These Terms constitute the entire agreement between the parties in relation to the services and supersede any prior discussions or representations.
Any variation must be agreed in writing.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
15. Acceptance
Engagement is deemed accepted upon written confirmation, signature, or commencement of services.
